  This Agreement is made between:
  The Saint Louis University Nursing Alumni Association International, Inc., with official address at 1891 Goshen Avenue, Fresno, California 93720, USA (hereinafter referred to as the "EVENT ORGANIZER"), represented by Minette Reyes, President, Arbie Ramos, Chair, Sponsorship and Advertisement and Bayong Canada, with a
  business address at 22-15487 99A Avenue, Surrey, British Columbia C V3R 0G9, CANADA, represented by April Moran, CEO.
  Whereas, the Event Organizer has booked the Sheraton Vancouver Wall Centre conference facility to hold their 2023 Grand Reunion from July 13-14, 2023.
  Both parties hereby agree to the following terms:
  1. The EXHIBITOR shall avail the 2-day exhibitor package priced at $1,000.00 US dollars.
  2. Instead of direct payment, the EXHIBITOR shall provide the following items as an exchange deal for the sponsorship package:
  a. One (1) Bayong Bag provided free of charge, to be auctioned prior to the event and made available
  upon signing this agreement.
  b. Ten (10) Bayong Bags shall be supplied on loan during the fashion show section of the event for use by the models. The loan of the Bayong Bags shall be subject to the following terms and conditions:
  i. The loan duration shall be from the start of the fashion show until its conclusion, after which
  the bags shall be promptly returned to the EXHIBITOR.
  ii. The EXHIBITOR shall be responsible for any damages or loss incurred to the Bayong Bags
  during the loan period, excluding normal wear and tear.
  iii. The models shall use the Bayong Bags solely for the purpose of the fashion show and shall
  handle them with care.
  iv. Upon conclusion of the fashion show, the EVENT ORGANIZER shall ensure that all Bayong
  Bags are returned to the Exhibitor in the same condition they were received, apart from
  normal wear and tear.
  c. Three (3) Bayong Bags provided free of charge, to be awarded to the top 3 models as prizes for
  participation.
  3. As this event serves as a fundraiser for the numerous projects of the Event Organizer, the Exhibitor shall
  receive all revenue generated from the auction of the Bayong Bag. In addition, for all other sales of the Bayong Bags during the event, the Exhibitor agrees to a 20% markup. The Exhibitor shall retain the full amount of the markup from these sales and shall turn over the total amount of the markup to the Event Organizer upon the conclusion of the event.
  The EVENT ORGANIZER agrees to provide the following:
  1. An exhibition table and two chairs at the foyer of the conference center for the duration of the event.
  2. Permission for the EXHIBITOR to distribute marketing materials to the event delegates.
  Both parties agree to adhere to the terms and conditions of this agreement, and any dispute arising out of or relating to this agreement shall be resolved through amicable negotiation. This agreement shall be binding upon and inure to the benefit of both parties and their respective successors and assigns.
  This agreement is executed on the 10th of May 2023 and shall remain in effect until the conclusion of the event.
